Terms and Conditions

These Terms and Conditions govern your access to and use of the Karted application and related B2B commerce services.

1. Introduction

Karted ("Karted", "we", "our", or "us") is a business-to-business (B2B) commerce platform designed to connect wholesalers, retailers, and other business users through a unified commerce ecosystem.

Karted provides business tools and services that may include product ordering, inventory management, customer-specific pricing, marketplace purchasing and bidding, order tracking, claims, credit notes, payment tracking, business reporting, and integrations with third-party services.

These Terms and Conditions ("Terms") govern your access to and use of the Karted application and related services.

By creating an account, accessing, or using Karted, you agree to these Terms. If you do not agree with these Terms, you should not use the application.

2. Eligibility and Business Use

Karted is primarily intended for business and commercial users. By using Karted for a business, you represent that you have the authority to act on behalf of that business where such authority is required.

You are responsible for ensuring that your use of Karted complies with all applicable laws, regulations, and business requirements.

3. Karted Platform and User Roles

Depending on the services enabled for an account, Karted may support different business roles, including:

  • Business Owners and Administrators: Manage business accounts, users, settings, and business operations.
  • Retailers: Purchase products, manage customers, create orders, and manage business activities.
  • Wholesalers and Suppliers: Manage products, stock, pricing, orders, and business fulfillment.
  • Salespersons: Assist with customer management, sales, and order activities.
  • Stock or Inventory Managers: Manage stock, inventory availability, and related information.
  • Delivery Personnel: Handle assigned delivery and order fulfillment activities where applicable.
  • Customers: Interact with participating businesses and access available commerce services where applicable.

The availability of specific roles and features may vary depending on the business account and services provided by Karted.

4. Account Registration and Security

Certain Karted features require users to create an account.

  • Users must provide accurate and current information.
  • Users are responsible for maintaining the confidentiality of their login credentials.
  • Users are responsible for activity performed through their account.
  • Users must notify Karted if they believe their account has been accessed without authorization.

Businesses are responsible for ensuring that employees, administrators, salespersons, and other authorized users access their business account only with appropriate authorization.

5. Orders and Commerce Transactions

Karted may allow businesses to create, submit, review, accept, process, fulfill, and track orders and other commercial transactions.

Depending on the applicable workflow, an order may involve retailers, wholesalers, suppliers, salespersons, inventory personnel, delivery personnel, or other authorized users.

An order may not be considered final or confirmed until the applicable business or supplier confirms the order.

Users are responsible for reviewing order details, quantities, pricing, applicable taxes, discounts, and other transaction information before confirming an order where applicable.

6. Product Information, Pricing and Availability

Product information, pricing, discounts, promotions, and inventory availability may be provided or maintained by businesses, wholesalers, suppliers, retailers, or other authorized users.

Karted may support different prices for the same product depending on the applicable business, retailer, customer, chain, location, or account configuration.

Product availability and pricing may change before an order is confirmed.

Karted does not guarantee that product information, pricing, inventory levels, or availability will always be accurate, complete, or available.

The business or supplier responsible for a product is responsible for its product information, pricing, availability, quality, and fulfillment, subject to any separate agreement between the parties.

7. Marketplace and Bidding

Where marketplace functionality is available, retailers or other authorized business users may publish buying requests and wholesalers or suppliers may respond with offers or bids.

Marketplace activity may include product requirements, requested quantities, pricing, delivery information, and other commercial details.

Submitting a request or bid does not automatically guarantee that a transaction will occur.

The relevant businesses are responsible for reviewing and confirming commercial terms before completing a transaction.

Karted provides the marketplace technology but is not necessarily the seller, buyer, supplier, wholesaler, retailer, or owner of the products involved in marketplace transactions.

8. Order Fulfillment, Claims and Credit Notes

Karted may support workflows such as:

  • Quotation
  • Order creation
  • Packing
  • Order readiness
  • Delivery
  • Order completion
  • Claims
  • Credit notes
  • Payment reconciliation

The availability of these workflows may depend on the business account and applicable services.

Claims, returns, adjustments, credit notes, and other commercial resolutions may be subject to the agreement between the relevant businesses and applicable laws.

Karted may provide tools to record and manage these activities but does not automatically guarantee a refund, credit note, return, replacement, or other commercial resolution.

9. Payments

Karted may integrate with third-party payment service providers, including Stripe, to facilitate payments and related transactions.

Payment processing may be performed by the applicable third-party payment provider according to its own terms, privacy policy, and security practices.

Karted does not directly store full payment card numbers or CVV/security codes on Karted's own servers when payment processing is handled by a third-party payment provider.

Karted may receive limited transaction information required to manage business transactions, such as payment status, transaction identifier, amount, currency, payment method type, refund status, or payment reconciliation information.

Users are responsible for providing accurate payment and transaction information when required.

10. Square and POS Integration

Karted may integrate with third-party point-of-sale (POS) systems, including Square, to support business and commerce operations.

Where a Square or other POS integration is enabled, certain information may be exchanged between Karted and the applicable third-party service as necessary to provide the requested integration.

Karted does not operate or control Square's POS systems, payment processing systems, or independent data practices.

Use of Square and its services may be subject to Square's own terms, privacy policy, and other applicable agreements.

11. Delivery

Where Karted provides or facilitates delivery-related functionality, delivery times may depend on product availability, order processing, location, logistics, traffic, weather, third-party delivery services, and other factors.

Estimated delivery times are not guaranteed unless explicitly stated otherwise.

Karted is not responsible for delays caused by circumstances outside its reasonable control.

12. User Responsibilities

Users agree to use Karted lawfully, responsibly, and in accordance with these Terms.

  • Provide accurate and current information.
  • Protect account credentials and access information.
  • Use Karted only for legitimate activities.
  • Maintain appropriate authorization for business users.
  • Review order and transaction information before confirmation.
  • Respect the rights and information of other users.
  • Comply with applicable laws and regulations.

13. Prohibited Activities

Users must not:

  • Use Karted for unlawful or fraudulent activities.
  • Attempt to gain unauthorized access to another account.
  • Interfere with or disrupt the operation of Karted.
  • Attempt to bypass security or authentication mechanisms.
  • Upload malicious software, code, or harmful content.
  • Use another person's account without authorization.
  • Provide false or misleading information for fraudulent purposes.
  • Use Karted to conduct transactions that violate applicable laws.
  • Reverse engineer, copy, modify, or exploit Karted except where permitted by applicable law.
  • Attempt to manipulate marketplace requests, bids, pricing, or transactions through fraudulent activity.

14. Account Suspension and Termination

Karted may restrict, suspend, or terminate access to an account where reasonably necessary, including when:

  • The user violates these Terms.
  • The account is involved in suspected fraud or abuse.
  • Unauthorized access or security risks are detected.
  • The user provides materially false information.
  • Required by law or legal authority.
  • The account presents a significant risk to Karted, its users, or third parties.

Where reasonably possible, Karted may provide notice before taking such action. Immediate action may be taken where necessary to protect security, prevent fraud, or comply with legal obligations.

15. Account Deletion

Karted provides users with the ability to request deletion of their account and associated personal information.

Users can initiate account deletion from within the Karted application:

  • Open the Karted application.
  • Go to the Manage or applicable account section.
  • Select "Delete Account".
  • Confirm the deletion request.

Users may also request account deletion by contacting Karted through the designated support email address provided on this page. Account deletion requests submitted by email may be subject to verification before processing.

When an account deletion request is processed, Karted will delete or anonymize the user's account and associated personal information from its systems where reasonably possible, except for information that is required or permitted to be retained for legitimate purposes.

Certain information may be retained where required for legal, tax, accounting, fraud prevention, security, dispute resolution, or other legitimate business purposes. Any retained information will be kept only for the period necessary to satisfy the applicable requirement and will then be securely deleted or anonymized, as applicable.

Deleting an account may result in permanent loss of access to orders, transaction history, business records, claims, credit notes, and other services associated with the account.

16. Privacy and Data Protection

Your use of Karted is also subject to the Karted Privacy Policy, which explains how Karted collects, uses, stores, protects, and shares information.

The Privacy Policy forms part of these Terms and should be reviewed together with these Terms.

17. Third-Party Services

Karted may rely on third-party services to provide certain features, including payment processing, POS integration, hosting, authentication, security, analytics, infrastructure, and other services.

Third-party services may have their own terms and privacy policies. Your use of those services may therefore be subject to their applicable terms.

Karted is not responsible for the independent policies, availability, security, or actions of third-party services that are outside Karted's reasonable control.

18. Intellectual Property

The Karted application, including its software, design, branding, logos, text, graphics, interfaces, and other content provided by Karted, is owned by or licensed to Karted and may be protected by applicable intellectual property laws.

Except as expressly permitted by Karted or applicable law, users may not copy, reproduce, distribute, modify, sell, or create derivative works from Karted's proprietary materials.

19. Service Availability

Karted aims to provide reliable access to its services but does not guarantee that the application will always be available, uninterrupted, error-free, or free from delays.

Services may occasionally be unavailable because of maintenance, technical problems, security incidents, infrastructure failures, updates, third-party service failures, or circumstances outside our reasonable control.

20. Disclaimer

To the extent permitted by applicable law, Karted provides its platform and services on an "as available" basis.

Karted does not guarantee that information, products, inventory, pricing, bids, orders, or services provided by independent businesses, suppliers, customers, or other users will always be accurate, complete, available, or suitable for a particular purpose.

Users should independently verify important business, financial, product, order, and transaction information before relying on it.

21. Limitation of Liability

To the maximum extent permitted by applicable law, Karted will not be responsible for indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the application or services.

Karted is not responsible for losses caused by unauthorized account access resulting from a user's failure to protect their credentials, third-party service failures, internet connectivity issues, business disputes between users, or circumstances outside Karted's reasonable control.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

22. Changes to These Terms

Karted may update these Terms and Conditions from time to time to reflect changes to our application, services, business practices, third-party integrations, or applicable legal requirements.

When changes are made, the updated Terms will be posted on this page with a revised "Last Updated" date.

Continued use of Karted after updated Terms become effective may constitute acceptance of the revised Terms, to the extent permitted by applicable law.

23. Governing Law

These Terms shall be governed by and interpreted in accordance with the applicable laws of India, unless otherwise required by applicable law.

Any disputes arising from or relating to these Terms or the use of Karted will be subject to the jurisdiction of the courts or authorities applicable to Karted, subject to applicable law.
